1. Please Read These Terms Carefully

These Terms of Service, together with any additional terms, policies, rules, or guidelines that are posted on or linked from the Service and expressly incorporated by reference, govern your access to and use of YoungHollywood.com, related websites, mobile websites, mobile applications, video players, newsletters, interactive features, social media integrations, promotions, events, and other online services that link to these Terms, collectively, the Service.

The Service is operated by Young Hollywood, LLC, together with its parents, subsidiaries, and affiliates, collectively, Young Hollywood, YH, we, us, or our. By accessing or using the Service, you agree to these Terms and to our Privacy Policy and Cookie Policy. If you do not agree, do not access or use the Service.

These Terms include important provisions regarding arbitration, class action waiver, disclaimers, limitations of liability, and indemnification. Please read them carefully.

2. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the Last Updated date above. If we make material changes, we may provide additional notice, such as by posting a notice on the Service or sending notice to an email address associated with your account, if any. Updated Terms are effective when posted unless a later effective date is stated. For existing users, material changes will become effective 30 days after posting or notice unless a shorter period is required to comply with law or protect the Service, users, or our rights. Your continued use of the Service after the effective date of updated Terms means you accept the updated Terms.

Changes to the arbitration provisions will not apply to any Dispute for which a party has already sent a written notice before the effective date of the change, unless both parties agree otherwise in writing.

3. Eligibility and Accounts

The Service is intended for a general audience and is not directed to children under 13. You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with the permission and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

Some features may require registration. You agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us promptly if you believe your account has been compromised.

4. Ownership of the Service and Content

The Service and all content available through it, including videos, photographs, articles, interviews, images, graphics, text, audio, music, software, code, compilations, designs, trademarks, logos, service marks, trade names, metadata, and other materials, collectively, Content, are owned by Young Hollywood or our licensors, talent, partners, or content providers and are protected by copyright, trademark, right of publicity, and other intellectual property and proprietary rights laws.

Subject to these Terms, Young Hollywood grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service and Content for your personal, non-commercial entertainment and informational purposes only. No ownership rights are transferred to you. All rights not expressly granted are reserved by Young Hollywood and its licensors.

5. Restrictions on Use

You may not, directly or indirectly:

If you violate these Terms, your permission to access and use the Service and Content automatically terminates and you must immediately delete or destroy any copies of Content in your possession or control.

6. Artificial Intelligence, Scraping, and Digital Replicas

Because Young Hollywood is a video, interview, celebrity, entertainment, and lifestyle media service, the Service may include names, images, voices, performances, likenesses, interviews, and other rights of talent, performers, athletes, creators, influencers, and public figures. You do not receive any right to use any person's name, image, voice, likeness, performance, persona, biography, or other identity rights by accessing the Service or Content.

Without Young Hollywood's prior written permission, you may not use the Service or Content, including videos, still images, photographs, interviews, transcripts, articles, audio, voices, likenesses, metadata, or user content, to train, fine-tune, test, benchmark, develop, improve, operate, validate, or support any artificial intelligence, machine-learning, generative AI, large language model, computer vision, facial recognition, voice recognition, voice cloning, synthetic media, digital replica, avatar, recommendation, or similar system.

You may not use the Service or Content to create, distribute, publish, make available, or assist in creating any synthetic media, deepfake, voice clone, facial clone, digital replica, impersonation, misleading depiction, unauthorized endorsement, or altered performance of any person, including any celebrity, performer, athlete, influencer, creator, employee, or user.

You may not submit to the Service any AI-generated, synthetic, manipulated, or materially altered content that falsely appears to depict a real person, real event, or real endorsement unless you clearly label it and have all rights, consents, and permissions required by law and these Terms. We may remove or restrict such content at any time.

7. User Content and Submissions

The Service may allow you to submit, post, upload, tag, transmit, or otherwise provide comments, messages, photos, videos, contest entries, social media posts, feedback, or other materials, collectively, User Content. You retain ownership of your User Content, subject to the license below.

By providing User Content, you grant Young Hollywood and its affiliates a worldwide, royalty-free, fully paid, sublicensable, transferable, non-exclusive license to host, store, reproduce, distribute, display, perform, edit, adapt, publish, translate, create derivative works from, and otherwise use your User Content in connection with operating, promoting, improving, and monetizing the Service and Young Hollywood's business, including in videos, social media, advertising, publicity, newsletters, archives, and other media now known or later developed, subject to our Privacy Policy and applicable law.

You represent and warrant that you own or control all rights necessary to provide your User Content and grant the license above; your User Content is accurate to the extent it contains factual statements; and your User Content does not violate law, infringe or violate anyone's rights, or breach these Terms.

We may monitor, review, edit, reject, remove, disable access to, or refuse to publish User Content at any time for any reason, but we have no obligation to do so. We are not responsible for User Content posted by users and do not necessarily endorse any opinions expressed by users.

8. Unsolicited Ideas

Young Hollywood does not accept or consider unsolicited scripts, treatments, formats, show concepts, program ideas, creative suggestions, pitch materials, business plans, or other creative materials unless we specifically request them in writing. This policy is intended to avoid misunderstandings if content, programming, campaigns, or projects developed by Young Hollywood or its partners appear similar to materials submitted by others.

If you submit unsolicited ideas or materials despite this policy, you agree that Young Hollywood has no obligation to review, keep confidential, compensate you for, return, or use those materials. To the fullest extent permitted by law, you waive any claim that our use of any content, idea, concept, format, story, or material is similar to or derived from an unsolicited submission.

9. Community, Interactive Features, and Rules of Conduct

If the Service offers comments, message boards, chat, polls, social features, livestream interactions, or other interactive features, you are solely responsible for your participation and User Content. You may be exposed to content that is offensive, inaccurate, objectionable, or inappropriate.

You agree not to submit, post, transmit, or link to User Content that:

10. Social Media and Third-Party Platforms

If you tag Young Hollywood, use a Young Hollywood hashtag, respond to a Young Hollywood request, or otherwise submit content through social media or a third-party platform, you authorize us to use, repost, display, and distribute that content in accordance with these Terms and the applicable platform terms. Third-party platforms are not controlled by Young Hollywood, and your use of them is subject to their own terms and privacy policies.

11. Promotions, Contests, Sweepstakes, and Events

From time to time, Young Hollywood or its partners may offer promotions, contests, sweepstakes, giveaways, auctions, ticketing opportunities, or events. Each promotion may be governed by additional official rules or terms, which will be posted or otherwise made available and are incorporated into these Terms. If there is a conflict between these Terms and promotion-specific rules, the promotion-specific rules control for that promotion.

12. Sponsored Content, Advertising, Affiliate Links, and Commerce

The Service may include advertising, sponsored content, paid integrations, branded content, affiliate links, commerce links, product recommendations, or promotions from third parties. We may receive compensation when you view, click, purchase, or otherwise interact with certain content or links. Sponsored or advertising content may be labeled as advertising, sponsored, promoted, paid, partner, affiliate, or with similar disclosures. Your dealings with advertisers, sponsors, merchants, or other third parties are solely between you and those third parties unless otherwise stated.

13. Purchases, Subscriptions, and Auto-Renewals

The Service is currently primarily a media and entertainment service, but we may offer paid products, subscriptions, memberships, premium content, paid newsletters, event tickets, merchandise, or other paid offerings. Additional terms may apply at the point of purchase.

If an offering automatically renews, we will disclose the renewal terms, price, billing frequency, cancellation method, and other material terms before obtaining your consent. You authorize us and our payment processors to charge the applicable payment method for amounts due. You may cancel as described at sign-up, in your account settings if available, or by contacting us at legal@younghollywood.com. Unless otherwise stated, cancellation stops future recurring charges but does not automatically refund prior charges.

14. Third-Party Links and Services

The Service may link to, embed, integrate with, or otherwise make available third-party websites, applications, services, players, advertisements, content, or platforms. Young Hollywood does not control and is not responsible for third-party services, content, privacy practices, security, or terms. Accessing third-party services is at your own risk.

15. Copyright Complaints and DMCA Notice

Young Hollywood respects intellectual property rights. If you believe material on the Service infringes your copyright, you may send a notice under the Digital Millennium Copyright Act, or DMCA, to our designated copyright agent. Your notice should include:

  1. your physical or electronic signature or the signature of a person authorized to act on behalf of the copyright owner;
  2. identification of the copyrighted work claimed to have been infringed;
  3. identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate the material, such as a URL;
  4. your name, mailing address, telephone number, and email address;
  5. a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and
  6. a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

16. Other Legal Complaints

If you believe Content or User Content violates your rights other than copyright, please contact us at legal@younghollywood.com and include your name, contact information, a description of the material, the location of the material, the rights you believe are violated, and a statement under penalty of perjury that the information you provide is accurate and that you are authorized to submit the complaint.

17. Privacy and Cookies

Our collection, use, disclosure, and retention of personal information are described in our Privacy Policy. Our use of cookies and similar technologies is described in our Cookie Policy. By using the Service, you acknowledge those policies.

18. Accessibility

We want the Service to be accessible to users with disabilities. If you use a screen reader or other assistive technology and have difficulty accessing the Service, please contact us at legal@younghollywood.com or call 310-481-2282 for assistance.

19. Disclaimer of Warranties

Your use of the Service and Content is at your own risk. The Service and Content are provided as is, as available, and with all faults. To the fullest extent permitted by law, Young Hollywood disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted or error-free operation.

Young Hollywood does not warrant that the Service or Content will be accurate, complete, current, available, secure, uninterrupted, or free of viruses or harmful components. Entertainment, lifestyle, news, and editorial content may contain opinions, commentary, errors, omissions, or outdated information.

20. Limitation of Liability

To the fullest extent permitted by law, Young Hollywood and its parents, subsidiaries, affiliates, officers, directors, employees, agents, licensors, service providers, content providers, successors, and assigns will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages; lost profits; lost revenue; lost data; loss of goodwill; business interruption; or cost of substitute services arising out of or relating to the Service, Content, User Content, these Terms, or any third-party service, even if advised of the possibility of such damages.

To the fullest extent permitted by law, Young Hollywood's total liability for all claims arising out of or relating to the Service, Content, User Content, or these Terms will not exceed the greater of $100 or the amount you paid to Young Hollywood for the Service giving rise to the claim during the six months before the event giving rise to liability.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

21. Indemnification

You agree to defend, indemnify, and hold harmless Young Hollywood and its parents, subsidiaries, affiliates, officers, directors, employees, agents, licensors, service providers, content providers, successors, and assigns from and against any claims, demands, actions, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Service; your User Content; your breach of these Terms; your violation of law; or your infringement or violation of the rights of Young Hollywood or any third party.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

22. Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.

22.1 Informal Resolution

Before filing a claim, you and Young Hollywood agree to attempt to resolve any controversy, allegation, claim, or dispute arising out of or relating to the Service, Content, User Content, these Terms, the Privacy Policy, the Cookie Policy, or any additional terms, collectively, a Dispute, through informal negotiation. The party raising the Dispute must send written notice describing the Dispute and proposed resolution.

The parties will attempt to resolve the Dispute for 60 days after receipt of notice. Either party may proceed if the Dispute is not resolved within that period.

22.2 Arbitration Agreement

Except for Excluded Disputes and small-claims matters described below, you and Young Hollywood agree that any Dispute will be resolved by final and binding arbitration administered by JAMS under the JAMS Streamlined Arbitration Rules and Procedures, or, if the amount in controversy exceeds $250,000 or the claims are not suitable for streamlined rules, the JAMS Comprehensive Arbitration Rules and Procedures, in effect when arbitration is initiated. If applicable, the JAMS Consumer Minimum Standards of Procedural Fairness will apply. If JAMS is unavailable, the arbitration will be administered by the American Arbitration Association, or AAA, under its applicable consumer arbitration rules.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. The arbitrator will have authority to award any remedy available in court, subject to these Terms. Judgment on the arbitration award may be entered in any court of competent jurisdiction pursuant to Section 9 of the Federal Arbitration Act.

22.3 Arbitration Location and Fees

The arbitration may be conducted by video, telephone, written submissions, or in person as permitted by the applicable rules and the arbitrator. If an in-person hearing is required, it will occur at a location reasonably convenient for you or as otherwise required by applicable rules. Fees will be allocated as required by applicable arbitration rules and law.

22.4 Excluded Disputes

The arbitration requirement does not apply to: claims that qualify for small-claims court; claims seeking injunctive or equitable relief for alleged misuse or infringement of intellectual property, Content, trademarks, trade secrets, confidential information, publicity rights, privacy rights, or unauthorized scraping, AI training, automated extraction, or digital replica activity; or claims that cannot be arbitrated as a matter of law, collectively, Excluded Disputes.

22.5 Class Action Waiver

You and Young Hollywood agree that Disputes will be resolved only on an individual basis. You and Young Hollywood waive the right to participate in any class, collective, consolidated, private attorney general, or representative action or proceeding. The arbitrator may not consolidate claims or preside over any class, collective, or representative proceeding, except as required by law.

22.6 Mass Arbitration

If 75 or more similar arbitration demands are filed against Young Hollywood or related parties by claimants represented by the same law firm or coordinated counsel, the JAMS Mass Arbitration Procedures and Guidelines, or comparable AAA mass-arbitration rules if AAA administers the matter, will apply to the extent permitted by the administrator and applicable law. The parties agree to cooperate in good faith to select bellwether matters, coordinate schedules, and reduce unnecessary duplication and cost.

22.7 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@younghollywood.com within 30 days after you first become subject to these Terms. Your notice must include your name, email address, mailing address, and a clear statement that you want to opt out of arbitration. Opting out of arbitration does not affect any other part of these Terms.

22.8 Court Venue

For Disputes not subject to arbitration, you and Young Hollywood consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, except that Young Hollywood may seek injunctive or equitable relief in any jurisdiction where relief is necessary.

23. Limited Time to Bring Claims

To the fullest extent permitted by law, any Dispute must be commenced within one year after the claim arises, or it will be permanently barred. This limitation does not apply to Excluded Disputes or claims where a shorter or longer period is required by applicable law.

24. Governing Law

These Terms and any Dispute will be governed by the laws of the State of California, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration agreement.

25. Miscellaneous

These Terms, together with our Privacy Policy, Cookie Policy, and any additional terms that apply to specific features or promotions, are the entire agreement between you and Young Hollywood regarding the Service. If any provision is found invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, operation of law, or otherwise. A printed version of these Terms and electronic notices will be admissible in proceedings to the same extent as other business records.
